Terms of Use

Last Updated: May 18, 2026

These Terms of Use (“Terms”) govern access to and use of the Employo website, available at https://employo.com/ and any related subdomains, websites, online pages, content, and forms (the “Website”), and the Employo software-as-a-service platform, products, modules, features, APIs, integrations, support tools, and related services made available by us (collectively, the “Services”).

The Services are operated by EMPLOYO TECHNOLOGY SERVICES - FZCO, a company registered in the United Arab Emirates, with its address at IFZA Business Park, DDP, PO Box 342001, Dubai, United Arab Emirates (“Employo,” “Company,” “we,” “us,” or “our”).

By accessing or using the Website or Services, creating an account, accepting an Order Form, clicking to accept these Terms, or continuing to use the Services after being notified of updates, you agree to be bound by these Terms.

If you use the Services on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, “Customer” means that entity.

Service

Employo provides a business-to-business SaaS platform for HR, people operations, organizational management, recruitment/ATS processes, workflows, approvals, reporting, and related operational functionality.

The Services may include, depending on the applicable plan, configuration, and Order Form, modules and features for Core HR, employee lifecycle management, organizational structure, time and attendance, absence management, recruitment and ATS, candidate pipelines, offers, employee documents, assets, approvals, workflows, analytics, reporting, permissions, integrations, and administration.

The Services are not staffing agency, employment agency, payroll provider, legal adviser, tax adviser, or HR compliance adviser. Customers remain responsible for their own employment, HR, recruitment, compensation, payroll, tax, immigration, workplace, and compliance decisions.

For Customers, these Terms, together with any applicable order form, subscription checkout, statement of work, service level agreement, or other document that expressly references these Terms (each, an “Order Form”), and any applicable data processing addendum (“DPA”), form the complete agreement between the Customer and Employo regarding the Services (the “Agreement”).

If there is a conflict between these Terms and an Order Form, the Order Form will prevail, but only for the specific Services and subscription covered by that Order Form. If there is a conflict between the DPA and these Terms or an Order Form regarding the processing of Personal Data, the DPA will prevail solely with respect to that processing.

For individuals invited to or using a Customer workspace, tenant, or account (“Authorized Users”), these Terms govern your use of the Services. The Customer that invited you controls its workspace and Customer Data, including user permissions, account settings, access rights, and retention instructions.

Definitions

“Account” means an account, workspace, tenant, or administrative environment through which a Customer or Authorized User accesses the Services.

“Authorized User” means an employee, contractor, representative, administrator, manager, recruiter, HR specialist, or other individual authorized by Customer to access or use the Services.

“Customer Data” means data, content, files, records, personal data, messages, documents, configurations, workflows, candidate information, employee information, asset records, absence records, organizational data, and other information submitted to, uploaded to, generated in, or processed through the Services by or on behalf of Customer or its Authorized Users. Customer Data does not include Usage Data, Aggregated Data, or Employo technology.

“Personal Data” means any information relating to an identified or identifiable natural person, as defined under applicable data protection laws.

“Candidate” means an individual whose information is processed by Customer through recruitment or ATS functionality. A Candidate is not a Customer or Authorized User merely because Customer processes that Candidate’s information through the Services.

“Subscription Term” means the subscription period stated in the applicable Order Form or online subscription checkout.

“Third-Party Services” means products, services, software, platforms, APIs, applications, integrations, data, infrastructure, or content provided by third parties and used with or connected to the Services.

“Usage Data” means technical, diagnostic, performance, security, log, telemetry, and usage information relating to access to or use of the Services, excluding Customer Data.

“Aggregated Data” means data derived from or relating to the Services that has been aggregated, anonymized, or de-identified so that it does not identify Customer, Authorized Users, Candidates, employees, or any other individual.

Eligibility and Authority

The Services are intended for business and professional use only. They are not intended for personal, household, or consumer use. You must be at least 16 years old and legally permitted to use the Services. If applicable law requires a higher age or legal working age, you must satisfy that higher requirement. If you accept these Terms on behalf of a Customer, you represent and warrant that you have legal authority to do so.

Access to the Services

Subject to Customer’s compliance with the Agreement, including payment of applicable fees, Employo grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the applicable Subscription Term to access and use the Services solely for Customer’s internal business purposes. Authorized Users may access and use the Services only for Customer’s internal business purposes and only within the permissions granted by Customer or Employo. No rights are granted except as expressly stated in the Agreement.

Responsibilities

Customer is responsible for:

  • all activity under its Account, including activity by Authorized Users;
  • configuring permissions, roles, access controls, workflows, approval chains, integrations, and workspace settings;
  • maintaining the accuracy, quality, legality, and integrity of Customer Data;
  • obtaining and maintaining all notices, consents, rights, authorizations, and legal bases required to collect, upload, use, disclose, and process Customer Data through the Services;
  • complying with all applicable employment, labor, anti-discrimination, privacy, data protection, recruitment, workplace, immigration, tax, payroll, and recordkeeping laws;
  • ensuring that use of the Services by Customer and Authorized Users complies with the Agreement;
  • preventing unauthorized access to the Services and promptly notifying Employo of any suspected unauthorized access, security incident, or misuse; and
  • making and documenting any HR, employment, recruitment, disciplinary, compensation, promotion, termination, compliance, or similar decisions.

Customer must not use the Services as the sole basis for decisions that have legal, employment, or similarly significant effects on individuals unless Customer has implemented appropriate human review, safeguards, notices, and legal bases required by applicable law.

Authorized Users must:

  • use the Services only as authorized by Customer and these Terms;
  • keep login credentials confidential and not share accounts;
  • provide accurate information when using the Services;
  • follow Customer’s internal policies applicable to the Services; and
  • promptly notify Customer or Employo of suspected unauthorized access or misuse.

Customer may suspend, modify, or terminate an Authorized User’s access at any time. Employo may also suspend or terminate access where required for security, legal, operational, or contractual reasons.

If you are an Authorized User and want to delete, modify, or restrict access to information in a Customer workspace, you should contact the relevant Customer unless applicable law requires otherwise.

Restrictions

Customer and Authorized Users must not, and must not allow any third party to:

  • sell, resell, rent, lease, sublicense, distribute, publish, transfer, or make the Services available to any third party, except as expressly permitted in the Agreement;
  • use the Services for any purpose other than Customer’s internal business purposes;
  • copy, modify, translate, adapt, or create derivative works of the Services;
  • reverse engineer, decompile, disassemble, or attempt to discover source code, object code, algorithms, models, architecture, underlying ideas, or technical methods of the Services, except to the extent such restriction is prohibited by law;
  • access or use the Services to build, benchmark, train, or improve a competing product or service;
  • interfere with or disrupt the integrity, security, availability, or performance of the Services;
  • attempt to gain unauthorized access to the Services, systems, networks, accounts, or data;
  • bypass, disable, or circumvent security, authentication, authorization, usage, or technical restrictions;
  • upload or transmit malicious code, viruses, worms, malware, spyware, or harmful components;
  • use scraping, crawling, bots, automated extraction, or bulk data harvesting without our prior written consent;
  • use the Services to infringe, misappropriate, or violate intellectual property, privacy, publicity, confidentiality, employment, or other rights;
  • upload unlawful, discriminatory, defamatory, fraudulent, misleading, harassing, or harmful content;
  • use the Services for unlawful surveillance, unlawful profiling, unlawful discrimination, or unlawful employment screening;
  • submit payment card data, highly sensitive data, special-category data, health data, biometric data, criminal records, government identifiers, children’s data, or similar regulated data unless such submission is lawful, necessary for Customer’s permitted use of the Services, supported by the relevant functionality, and covered by appropriate safeguards and agreements; or
  • use the Services in violation of applicable sanctions, export control, anti-corruption, or anti-bribery laws.

Customer Data

As between Customer and Employo, Customer owns Customer Data. Customer grants Employo a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, display, use, and otherwise handle Customer Data solely as necessary to provide, secure, maintain, support, administer, and improve the functionality, performance, and security of the Services, comply with the Agreement and applicable law, and prevent or address security, fraud, or technical issues.

Customer represents and warrants that it has all rights, permissions, consents, notices, and legal bases necessary for Employo to process Customer Data as contemplated by the Agreement.

Employo will not sell Customer Data. Employo will not use Customer Data to contact Customer’s employees, Candidates, or other individuals for unrelated marketing purposes.

Personal Data and Data Processing

The Privacy Policy explains how Employo processes Personal Data when acting as a controller for the Website, account administration, marketing, billing, communications, analytics, and similar purposes.

Where Employo processes Personal Data contained in Customer Data on behalf of Customer, Customer is the controller or equivalent decision-maker, and Employo acts as processor or service provider, as applicable. Such processing is governed by the applicable data processing addendum, if required by applicable law or agreed by the parties.

Customer is responsible for providing all privacy notices and obtaining all consents or other legal bases required for Customer Data, including Personal Data relating to Authorized Users, employees, contractors, Candidates, and other individuals.

Aggregated Data and Usage Data

Employo may collect and use Usage Data and Aggregated Data to operate, secure, analyze, support, improve, and develop the Services, conduct analytics, monitor performance, prevent misuse, and for business, product, and marketing purposes. Employo will not use Aggregated Data in a way that identifies Customer, Authorized Users, Candidates, employees, or other individuals.

Features

The Services may include analytics, recommendations, automation, predictive, AI-enabled, or data-assisted features. These features are intended to support Customer’s internal HR, people operations, recruitment, reporting, workflow, and administrative processes.

Outputs from such features may be incomplete, inaccurate, outdated, biased, or unsuitable for a particular use case. Customer is responsible for reviewing outputs, validating their accuracy, ensuring lawful use, and making final decisions.

Employo does not provide legal, employment, HR compliance, tax, payroll, immigration, or professional advice through the Services. Customer must not rely on analytics, automated recommendations, or AI-enabled outputs as a substitute for professional advice or legally required human review.

Employo may make certain Services, modules, functionality, or features available as beta, pilot, preview, trial, evaluation, early access, or experimental features (“Beta Features”). Beta Features are provided “as is” and “as available”, may be modified or discontinued at any time, may contain errors, and may not be subject to support, uptime, security, compatibility, or availability commitments.

Feedback

If Customer or any Authorized User provides ideas, suggestions, comments, requests, recommendations, improvements, or other feedback regarding the Services (“Feedback”), Employo may use the Feedback without restriction or obligation, provided that Employo does not disclose Customer’s Confidential Information in violation of the Agreement.

Employo Intellectual Property

Employo and its licensors retain all right, title, and interest in and to the Website, Services, software, interfaces, designs, workflows, features, functionality, APIs, documentation, models, algorithms, technology, know-how, trademarks, service marks, logos, and other intellectual property. No ownership rights are transferred to Customer or Authorized Users. All rights not expressly granted are reserved by Employo.

Customer must not remove, obscure, or alter any proprietary notices contained in the Services.

Third-Party Services and Integrations

The Services may interoperate with Third-Party Services. Customer’s use of Third-Party Services is governed by the terms and privacy policies of the relevant third-party providers, not by these Terms.

If Customer enables a Third-Party Service or integration, Customer authorizes Employo to exchange Customer Data with that Third-Party Service as necessary to enable the integration.

Employo does not control and is not responsible for Third-Party Services, including their availability, security, functionality, data handling, acts, omissions, or changes. Employo may suspend, modify, or discontinue integrations if necessary for security, legal, technical, business, or operational reasons.

Security

Employo will maintain commercially reasonable administrative, technical, and organizational measures designed to protect the security, confidentiality, and integrity of Customer Data. However, no service, transmission, storage system, or security measure is completely secure. Employo does not guarantee that unauthorized access, cyberattacks, data loss, or security incidents will never occur.

Customer is responsible for configuring access permissions, maintaining secure credentials, managing Authorized Users, using available security features, and ensuring that Customer’s own systems, devices, and networks are secure.

Support and Maintenance

Employo may provide support through the support channels made available by Employo or specified in an Order Form. Unless otherwise stated in an Order Form, support is provided on a commercially reasonable basis and does not include guaranteed response or resolution times.

Employo may update, maintain, modify, suspend, or discontinue parts of the Services from time to time. Employo will use commercially reasonable efforts not to materially reduce the core functionality of paid Services during an active Subscription Term, unless the change is required for security, legal, technical, third-party, or operational reasons.

Fees and Payment

Customer shall pay all fees specified in the applicable Order Form, online checkout, invoice, or subscription confirmation. Unless otherwise stated in the applicable Order Form, online checkout, invoice, or subscription confirmation, fees are charged on a subscription basis based on the number of employees, members, users, or other agreed subscription metric. Any setup fees, usage-based charges, or additional charges apply only if expressly stated in the applicable Order Form, online checkout, invoice, or subscription confirmation.

Subscriptions renew automatically for successive renewal periods unless cancelled in accordance with the applicable Order Form or the cancellation options made available in the Services. Customer authorizes Employo and its payment processors to charge the provided payment method for subscription fees, renewals, prorated adjustments, taxes, and any other amounts expressly agreed or disclosed before purchase or renewal.

All fees are non-refundable except as expressly stated in the applicable Order Form or required by law. Fees are exclusive of taxes, duties, VAT, levies, and similar governmental charges, which Customer is responsible for paying, except for taxes based on Employo’s net income.

Employo may use third-party payment processors, whose terms and privacy notices apply to payment processing. Employo does not store full payment card details, except to the extent tokenized or limited payment information is made available by the payment processor.

If Customer fails to pay undisputed amounts when due, Employo may suspend or restrict access to the Services after providing reasonable notice, where practicable, until payment is received. Suspension does not relieve Customer of its payment obligations.

Confidentiality

“Confidential Information” means non-public information disclosed by one party to the other that is designated confidential or should reasonably be understood to be confidential given the nature of the information and circumstances of disclosure.

Customer Data is Customer’s Confidential Information. The Services, non-public product information, pricing, technical information, security information, and business information of Employo are Employo’s Confidential Information.

Confidential Information does not include information that the receiving party can demonstrate:

  • is or becomes publicly available without breach of the Agreement;
  • was known to the receiving party without confidentiality obligations before disclosure;
  • is received from a third party without breach of confidentiality obligations; or
  • is independently developed without use of the disclosing party’s Confidential Information.

The receiving party must use reasonable care to protect Confidential Information and may use it only to perform or exercise rights under the Agreement. The receiving party may disclose Confidential Information only to its employees, contractors, advisers, affiliates, agents, and representatives who need to know it and are bound by confidentiality obligations at least as protective as those in these Terms. The receiving party may disclose Confidential Information where required by law, court order, regulator, or governmental authority, provided that it gives prompt notice where legally permitted and reasonably cooperates to limit disclosure.

Warranties

Each party represents and warrants that it has legal authority to enter into the Agreement.

Employo warrants that, during the applicable Subscription Term, it will provide the paid Services in a professional and workmanlike manner and will not materially decrease the overall security of the paid Services.

Customer’s exclusive remedy for breach of this warranty is for Employo to use commercially reasonable efforts to correct the non-conforming Services. If Employo cannot reasonably correct the issue, Customer may terminate the affected Services and receive a prorated refund of prepaid unused fees for the terminated portion, unless otherwise stated in the Order Form.

Disclaimers

Except as expressly stated in the Agreement, the Website and Services are provided “as is” and “as available”.

To the maximum extent permitted by law, Employo disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, uninterrupted operation, error-free operation, and any warranties arising from course of dealing or usage of trade.

Employo does not warrant that:

  • the Services will meet Customer’s specific requirements;
  • the Services will be uninterrupted, error-free, or completely secure;
  • all defects will be corrected;
  • outputs, analytics, reports, recommendations, or automation results will be accurate, complete, unbiased, or suitable for any particular decision; or
  • the Services will ensure Customer’s compliance with any law, policy, contract, or regulatory requirement.

Indemnification

Customer will defend, indemnify, and hold harmless Employo and its affiliates, officers, directors, employees, contractors, and agents from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to:

  • Customer Data;
  • Customer’s or Authorized Users’ use of the Services in violation of the Agreement or applicable law;
  • Customer’s HR, employment, recruitment, compensation, payroll, tax, workplace, or compliance decisions;
  • Customer’s failure to provide required notices, obtain required consents, or establish required legal bases for processing Personal Data;
  • allegations that Customer Data infringes, misappropriates, or violates third-party rights; or
  • disputes between Customer and Authorized Users, employees, contractors, Candidates, applicants, or other individuals.

Employo will defend Customer against any third-party claim alleging that Customer’s authorized use of the paid Services infringes that third party’s intellectual property rights, and will pay damages and costs finally awarded by a court or agreed in settlement by Employo.

Employo has no obligation for claims arising from:

  • Customer Data;
  • Customer’s or a third party’s modification of the Services;
  • combination of the Services with products, services, data, or processes not provided by Employo;
  • use of the Services in violation of the Agreement;
  • free, beta, trial, or evaluation features; or
  • Third-Party Services.

If an infringement claim is made or likely, Employo may, at its option: procure the right for Customer to continue using the Services, modify the Services so they are non-infringing, replace the Services with substantially equivalent functionality, or terminate the affected Services.

The indemnified party must promptly notify the indemnifying party of the claim, reasonably cooperate in the defense, and allow the indemnifying party to control the defense and settlement, provided that the indemnifying party may not settle any claim in a way that admits fault or imposes obligations on the indemnified party without its prior written consent.

Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for loss of profits, revenue, goodwill, business, anticipated savings, data, or business interruption, whether based on contract, tort, negligence, strict liability, or any other legal theory, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Employo’s total aggregate liability arising out of or relating to the Agreement will not exceed the amounts paid or payable by Customer to Employo for the affected Services during the six months immediately preceding the event giving rise to liability.

The limitations in this section do not apply to liability that cannot be limited under applicable law, Customer’s payment obligations, either party’s willful misconduct or fraud, or Customer’s indemnification obligations.

Term and Termination

The Agreement begins when Customer accepts these Terms, creates an Account, signs an Order Form, completes an online subscription, or otherwise first accesses the Services, and continues until all Subscription Terms have expired or the Agreement is terminated.

For online subscriptions, Customer may cancel renewal through the available account settings or by contacting Employo. Unless otherwise stated at checkout or in an Order Form, cancellation takes effect at the end of the then-current billing period, and fees already paid are non-refundable.

For subscriptions governed by an Order Form, termination and renewal are governed by the Order Form. If the Order Form does not specify termination rights, either party may terminate the applicable Order Form for material breach if the breach is not cured within 30 days after written notice.

Employo may suspend or terminate access immediately if:

  • Customer or an Authorized User materially breaches the Agreement;
  • use of the Services creates a security, legal, operational, or reputational risk;
  • Customer fails to pay undisputed amounts when due;
  • Customer or an Authorized User uses the Services unlawfully or fraudulently;
  • required by law, court order, regulator, or governmental authority; or
  • continuing to provide the Services would violate applicable law or third-party rights.

Upon termination or expiration:

  • Customer’s right to access and use the Services ends;
  • Customer must stop using the Services;
  • all unpaid fees become immediately due, unless prohibited by the applicable Order Form;
  • Employo may disable access to the Account; and
  • provisions intended to survive will remain in effect, including provisions on intellectual property, Customer Data, confidentiality, fees, disclaimers, limitation of liability, indemnification, dispute resolution, and miscellaneous terms.

Unless otherwise stated in an Order Form or required by law, Employo will make Customer Data available for export for 30 days after termination or expiration, provided Customer has paid all undisputed amounts due. After that period, Employo may delete or anonymize Customer Data in accordance with its standard deletion and retention practices, except where retention is required by applicable law, backup deletion cycles, security logs, audit records, dispute resolution, fraud prevention, or enforcement of the Agreement, in each case subject to applicable confidentiality and data protection obligations.

Force Majeure

Neither party will be liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, terrorism, riots, labor disputes, government action, internet or telecommunications failures, power failures, cyberattacks, third-party service failures, epidemics, pandemics, or other force majeure events. The affected party must use commercially reasonable efforts to mitigate the impact and resume performance.

Compliance

Customer must comply with all applicable sanctions, export control, anti-bribery, and anti-corruption laws. Customer must not access or use the Services if Customer is located in, organized under the laws of, or ordinarily resident in a jurisdiction subject to comprehensive sanctions, or if Customer or any Authorized User is listed on a restricted party list.

Changes to the Services and Terms

Employo may update these Terms from time to time. If changes are material, Employo will provide notice by posting the updated Terms, sending an email, displaying an in-product notice, or using another reasonable method. Updated Terms will become effective on the date stated in the notice or, if no date is stated, when posted. Continued use of the Services after the effective date constitutes acceptance of the updated Terms. Changes will not materially reduce Customer’s rights under an active Order Form during its then-current Subscription Term unless required by law or unless Customer agrees.

Notices

Notices to Employo must be sent to:

EMPLOYO TECHNOLOGY SERVICES - FZCO, IFZA Business Park, DDP, PO Box 342001, Dubai, United Arab Emirates

Email: support@employo.com

Employo may send notices to Customer through the Services, by email to the account owner, billing contact, administrator, or contact stated in an Order Form, or by other reasonable means.

Notices are deemed given when delivered electronically, when displayed in the Services, or five business days after mailing, as applicable.

Governing Law and Dispute Resolution

The Agreement and any dispute arising out of or relating to it are governed by the laws of the United Arab Emirates and, to the extent applicable, the laws of the Emirate of Dubai, without regard to conflict-of-law principles.

The parties shall first attempt to resolve any dispute in good faith through written negotiations. If the dispute is not resolved within 30 days after written notice of the dispute, either party may bring proceedings before the competent courts of Dubai, United Arab Emirates. The parties submit to the exclusive jurisdiction of such courts, unless applicable law requires otherwise. Nothing in the Agreement prevents either party from seeking urgent injunctive, interim, or protective relief from any court of competent jurisdiction.

Assignment

Customer may not assign or transfer the Agreement without Employo’s prior written consent. Employo may assign the Agreement to an affiliate or in connection with a merger, reorganization, sale of assets, change of control, or transfer of the relevant business.

Severability

If any provision of the Agreement is invalid or unenforceable, it will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

Waiver

No failure or delay by either party in exercising any right under the Agreement will constitute a waiver of that right. Any waiver must be in writing and will apply only to the specific matter waived.

Relationship of the Parties

The parties are independent contractors. The Agreement does not create any partnership, joint venture, employment, agency, fiduciary, or franchise relationship.

Entire Agreement

The Agreement constitutes the entire agreement between Customer and Employo regarding the Services and supersedes all prior or contemporaneous agreements, discussions, proposals, or representations relating to its subject matter.

If there is a conflict between documents, the applicable DPA will prevail with respect to the processing of Personal Data. For other matters, the following order applies unless expressly stated otherwise: the applicable Order Form, any service level agreement, these Terms, and then any referenced documentation or website materials.
